Terms of Service These Terms of Service (“Terms”) govern your access to and use of the software, content, and services (collectively, the “Services”) provided by Tyrell Inc. (“Tyrell”) through www.tyrell.kr and its subdomains (the “Website”), as well as the cochi mobile applications for iOS and Android (the “App”).

Please read these Terms carefully before using the Services.

By accessing or using the Services, you agree to be bound by these Terms and all applicable laws and regulations. These Terms apply to all visitors, users, and others who access or use the Services.

“Device” refers to any device used to access the Services, including but not limited to computers, smartphones, and tablets.

“You” or “Users” refers to the individual using the Services.

If you do not agree to these Terms, you may not use the Services.

PLEASE NOTE: THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE. EXCEPT FOR CERTAIN TYPES OF DISPUTES, YOU AND “Tyrell” AGREE THAT DISPUTES RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES WILL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION AND THAT YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS.

1. Description of Services

1.1 Service Overview and Cautionary Notes

“Tyrell” provides the “cochi” service to you through the “Website” and the “App.” "cochi" is an AI-powered service that helps users manage and organize tasks based on their goals and obstacles. It provides interactive services through text and voice interfaces.

"cochi" uses artificial intelligence technology to assist with goal-setting, task suggestions, and feedback. The information provided through “cochi” is intended for general guidance only and should not be interpreted as personal, professional, or legal advice.

1.2. Changes to the Services

“Tyrell” reserves the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) at any time. You agree that “Tyrell” shall not be liable to you or to any third party for any such modification, suspension, or discontinuation.

2. Membership and Payment

2.1. Registration

To access and use the Services, you must register for a "cochi" account. By registering, you agree to provide and maintain accurate, current, and complete information about yourself as prompted by “Tyrell”’s registration form. Your information is governed by “Tyrell”’s Privacy Policy.

2.2. Account Responsibilities

You are solely responsible for maintaining the confidentiality of your password and account and are fully responsible for all activities that occur under your password or account. You agree to:

(a) immediately notify “Tyrell” of any unauthorized use of your account or any other breach of security;

(b) ensure that you log out from your account at the end of each session.

“Tyrell” shall not be liable for any loss or damage arising from your failure to comply with this section.

2.3. Membership Benefits

As a "cochi" member, you will gain access to certain features and content not available to non-members.

By becoming a member, you agree to receive promotional offers, surveys, and service-related communications via email. You may opt out at any time. Memberships and subscriptions are non-transferable and may not be sold, traded, or transferred.

2.4. Paid Subscription Services

2.4.1. Monthly and Annual Plans

“Tyrell” offers monthly and annual subscription plans for the “cochi” service available for purchase via the Apple App Store and Google Play Store, in accordance with their respective policies.

2.4.2. Refunds

Refunds for subscription purchases are subject to the policies of the relevant store:

• Apple App Store: See Apple’s Media Services Terms and Conditions. Some purchases may not be refundable.

• Google Play Store: Refunds are generally only available within 48 hours of purchase. See Google’s refund policy.

EU residents may request a refund within 14 days of purchase unless they agree to immediate access to digital content, in which case refunds may be restricted.

2.5. Minors

Children under the age of 14 may not use the Services without parental consent. Payments made by minors may be subject to cancellation or refund unless authorized by a legal guardian.

2.6. Device Requirements

To use "cochi" on a mobile device, your device must meet the minimum system requirements, which are listed on the Website and the app stores.

2.7. Auto-Renewing Subscriptions
Payment will be charged to your Apple ID account at the confirmation of purchase.
Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.
You can manage and cancel your subscriptions by going to your App Store account settings after purchase.
Any unused portion of a free trial period will be forfeited when the user purchases a subscription.
Monthly Plan: $9.99/month. Annual Plan: $79/year. Prices are in USD and may vary in other regions.

2.8. Free Trial

“Tyrell” may offer a free trial period for the “cochi” service to new users, during which they can access premium features without charge for a limited time (e.g., 7 days).

After the free trial ends, users must manually choose to subscribe or make a payment in order to continue using premium features. Unless the user explicitly selects a paid plan, no automatic charges will occur. If the user does not subscribe, access to premium features may be restricted or disabled after the trial period.

Each user is eligible for one free trial unless otherwise stated. If abuse or misuse of the free trial is suspected, “Tyrell” reserves the right to limit or revoke access to the service.

3. Termination of Services

3.1. Termination by You

You may delete your account and terminate your membership at any time via the App. This action is irreversible. Most of your user data will be removed from systems upon deletion of your account; however, some data may be retained for a limited period in compliance with applicable legal obligations.

Your subscription will remain active until the end of the billing cycle. You may also cancel a paid subscription at any time without deleting your account. Cancellation will take effect at the end of the billing period. If purchased via the App Store or Google Play, you must cancel through their respective subscription management tools.

3.2. Termination by “Tyrell”

“Tyrell” may suspend or terminate your access to the Services immediately and without notice if you engage in fraud or violate these Terms.

4. General Practices Regarding Use and Storage

You acknowledge that “Tyrell” may establish general practices and limits concerning the use of the Services, including the maximum retention period and the maximum storage space allotted. “Tyrell” shall not be responsible for the deletion or failure to store any data. “Tyrell” also reserves the right to deactivate inactive accounts.

5. Mobile Services

Some Services are available via mobile devices. Standard carrier charges, data rates, and other fees may apply. Certain mobile services may not be available on all carriers or devices. By using mobile services, you agree to receive essential communications related to the “cochi” service via SMS, MMS, or other technologies and to update your account promptly if you change or deactivate your phone number. “Tyrell” shall not be liable for any issues arising from your failure to keep your account information up to date.

6. Terms of Use

6.1. User Conduct

You are solely responsible for any content (including but not limited to code, videos, images, data, text, software, music, sound, graphics, messages, or other materials) that you upload, email, transmit, or otherwise make available through the Services.

You agree not to use the Services to:

1. Upload or distribute content that:
   • Infringes any third party’s intellectual property or proprietary rights;
   • You do not have the right to upload under contractual or fiduciary relationships;
   • Contains viruses or other harmful computer code that disrupts software, hardware, or network operations;
   • Compromises personal privacy or security;
   • Constitutes spam, unsolicited advertising, promotional materials, or other forms of solicitation;
   • Is illegal, harmful, abusive, defamatory, obscene, harassing, or otherwise objectionable as determined by “Tyrell”;
   • Disrupts the use of the Services for others or may cause harm to “Tyrell” or users.

2. Interfere with or disrupt the Services, servers, or networks connected to the Services;

3. Violate any applicable local, national, or international laws or regulations;

4. Impersonate any individual or entity, or misrepresent your affiliation;

5. Collect contact information from other users without consent;

6. Use the Services for any unauthorized commercial purposes;

7. Promote or assist in any criminal activity;

8. Attempt to access or retrieve data in unauthorized ways;

9. Reproduce, develop, or distribute any competing service or software using “Tyrell”’s Services;

10. Reverse-engineer, decompile, or attempt to replicate “Tyrell”’s technology;

11. Imitate, reuse, or misappropriate “Tyrell”’s trademarks, user interface, or content.

6.2. Commercial Use

The Services are for personal, non-commercial use only. Unless expressly authorized by “Tyrell”, you agree not to use or exploit the Services or any portion thereof for commercial purposes, including selling, licensing, modifying, copying, reproducing, or distributing.

7. App Store and Google Play Legal Terms

These Terms apply to any mobile application accessed via the Apple App Store or Google Play Store. You acknowledge:

• The Terms are between you and “Tyrell”, not Apple or Google.

• The app is licensed to you for personal, non-commercial use on devices you own or control.

• Apple and Google are not responsible for the app’s functionality or maintenance.

• Warranty claims are governed by Apple or Google’s refund policies, and any other issues are “Tyrell”’s responsibility.

• You agree to comply with all third-party terms when using the app.

• Apple and Google are third-party beneficiaries of these Terms and have the right to enforce them against you.

8. Intellectual Property

8.1. Service Content and Trademarks

You acknowledge that all content and software available through the Services (excluding your user-generated content) is protected by intellectual property laws.

You may not modify, copy, rent, lease, loan, sell, distribute, or create derivative works without “Tyrell”’s express written consent. You agree not to engage in any unauthorized data extraction or scraping.

The name “cochi” and its logo are trademarks of “Tyrell”. Use of these marks without permission is prohibited.

User-generated content remains your property, but by uploading it, you grant “Tyrell” a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use it in connection with operating, marketing, or improving the Services.

8.2. Third-Party Materials

“Tyrell” is not responsible for content provided by users or third parties and does not endorse it. “Tyrell” reserves the right to remove any content deemed objectionable or in violation of these Terms.

8.3. User Submissions

By submitting content or feedback to “Tyrell”, you affirm that you own the rights to that content and grant “Tyrell” a license to use, modify, and distribute it in connection with the Services.

“Tyrell” may retain and disclose content if required by law or in good faith belief that it is necessary to protect rights or safety or comply with legal obligations.

8.4. Copyright Complaints

If you believe that your copyright has been infringed in the course of using the “cochi” service, notify “Tyrell” at official@tyrell.kr with a subject line “Copyright Infringement Notice.” The notice must include:

• Your physical or electronic signature;

• A description of the copyrighted work;

• Location of the infringing material;

• Your contact information;

• A good faith belief that use of the material is unauthorized;

• A statement under penalty of perjury that the information is accurate.

8.5. Counter-Notice

If your content is removed due to a copyright claim and you believe this was an error, you may submit a counter-notice to the same email with:

• Your physical or electronic signature;

• Identification of the removed content;

• A statement of good faith belief that the removal was a mistake;

• Your consent to jurisdiction in your local district court.

9. Third-Party Websites

The Services may contain links to third-party websites. “Tyrell” is not responsible for such sites and does not endorse or assume any liability for any loss or damage resulting from your use of them. Transactions with third parties are solely between you and the third party.

10. Disclaimers, Indemnity, and Limitation of Liability

10.1. Indemnity

You agree to indemnify, defend, and hold harmless “Tyrell” and its affiliates, officers, agents, and partners from any claims arising from your use of the Services or violation of these Terms.

10.2. Limitation of Liability

To the fullest extent permitted by law, “Tyrell” and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, goodwill, or use, arising from:

• Use or inability to use the Services;

• Unauthorized access to data;

• Content obtained through the Services;

• Actions of any third parties.

10.3. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind. “Tyrell” does not warrant that the Services will be error-free, uninterrupted, or that results will be reliable or accurate.

11. Dispute Resolution and Jurisdiction

11.1. Binding Arbitration

Any dispute between you and “Tyrell” will be resolved through binding arbitration. By accepting these Terms, you waive the right to a jury trial and class action participation.

11.2. No Class Actions

You agree that disputes will be resolved individually and not as part of a class or representative action.

11.3. Informal Resolution

Before filing a claim, you agree to attempt informal resolution by contacting official@tyrell.kr. If not resolved within 60 days, either party may initiate arbitration.

11.4. Confidentiality

All arbitration proceedings and related materials shall remain confidential.

11.5. Severability

If any portion of the arbitration clause is found unenforceable, it shall be replaced with a valid provision, unless the class action waiver is unenforceable, in which case the arbitration clause shall be void.

11.6. Future Modifications

You may reject any future changes to this arbitration clause within 30 days by contacting us in writing.

12. Miscellaneous

12.1. Termination

“Tyrell” reserves the right to suspend or terminate your account at any time for any reason, including inactivity or breach of these Terms. Termination may occur without prior notice.

12.2. Entire Agreement

These Terms constitute the entire agreement between you and “Tyrell” and supersede any prior agreements.

12.3. Severability

If any provision is held invalid, the remaining provisions shall remain in full force.

12.4. No Waiver

Failure to enforce any part of these Terms does not constitute a waiver of rights.

13. Privacy Protection

“Tyrell” values your privacy. “Tyrell”’s collection and use of your personal data is governed by separate Privacy Policy.
